Terms of Service - Purpose Education Collective Inc.

IMPORTANT NOTICE — PLEASE READ. These Terms contain provisions that limit PEC's responsibility and your remedies. Please pay particular attention to: Section 8 (Third-Party Recruitment Technology and Recorded Video Interviews); Section 12 (Third-Party Services); Section 27 (Security and Data Incidents); Section 28 (Disclaimer of Warranties); Section 29 (Limitation of Liability); and Section 30 (Indemnification). These provisions apply only to the extent permitted by applicable law. Nothing in these Terms removes a right or protection that the law says cannot be waived.


1. Acceptance of These Terms

1.1 These Terms of Service ("Terms") form a legally binding agreement between you and Purpose Education Collective Inc. ("PEC," "we," "us" or "our").

1.2 These Terms govern your access to and use of the Services (defined below), whether you are a website visitor, job applicant, candidate, PEC employee using PEC systems, Client representative, parent or guardian, vendor, or any other user.

1.3 You accept these Terms by doing any of the following where these Terms are presented or linked: accessing or using the Services; creating an account; submitting information or an application; clicking "I Agree," "Continue," "Submit" or a similar control; or otherwise expressly agreeing to them.

1.4 If you do not agree to these Terms, do not use the Services. If you are a candidate and do not wish to use a particular recruitment tool, see Section 8.7 for alternatives.

1.5 Certain Services are subject to additional terms, notices or acknowledgments (for example, the Candidate Acknowledgment in Schedule A). Those additional terms are incorporated into these Terms when you accept them.


2. Definitions

In these Terms:

  • "Candidate" means an individual who applies for, or is invited to participate in, a PEC recruitment process.

  • "Client" means an organization, including an education company, school, program operator or other entity, to which PEC supplies personnel or services.

  • "Client Services Agreement" means a written agreement between PEC and a Client.

  • "Participants" means students, families, parents, guardians and other individuals who take part in programs operated by a Client.

  • "PEC Personnel" means individuals employed or engaged by PEC, including workshop facilitators, student experience coordinators, admissions coordinators, learning coaches and other roles.

  • "Privacy Policy" means the Purpose Education Collective Inc. Privacy Policy, as updated from time to time.

  • "Recruitment Technology Provider" means a third party that provides recruitment software or services to PEC, including one-way (asynchronous) video interview platforms, applicant tracking systems, assessment tools and scheduling tools.

  • "Services" means PEC's websites (including purpose-educate.com, thepec.ca), online forms, recruitment and application processes, communications channels and workspaces (including any PEC Slack workspace), digital resources, training materials, platforms and other services made available by or on behalf of PEC.

  • "Submitted Content" has the meaning in Section 22.

  • "Third-Party Services" means websites, software, platforms, infrastructure or services owned or operated by anyone other than PEC, including Recruitment Technology Providers and tools such as Slack, Zoom, Google Workspace, Calendly and similar services.

  • "You" or "your" means the individual or organization using the Services.


3. About PEC

3.1 PEC is a Canadian workforce, staffing, training and educational-support company headquartered in British Columbia. PEC recruits, employs, trains and assigns PEC Personnel to Clients, and may also provide training, workforce development, program support and digital resources.

3.2 PEC's Clients operate their own educational programs and work directly with Participants, including middle and high school students and their families. PEC does not operate Client programs, enrol students, or contract with Participants, unless PEC expressly agrees otherwise in writing.

3.3 PEC's public Services are intended for adults. PEC does not knowingly offer its Services directly to minors except as expressly arranged with a Client and permitted by law.


4. Relationship to Other Agreements

4.1 These Terms govern PEC's generally available Services. Other written agreements may govern specific relationships, including employment agreements, offer letters, Client Services Agreements, statements of work, confidentiality agreements, data-processing agreements, technology-use agreements and PEC workplace policies.

4.2 Order of precedence. If a separate written agreement between you and PEC expressly governs the same subject matter and conflicts with these Terms, the separate agreement governs to the extent of the conflict.

4.3 These Terms do not replace, amend or form part of any employment agreement or Client Services Agreement unless that agreement expressly says so. Employment rights and obligations are governed by the employment agreement and applicable employment standards legislation.


5. Privacy and Personal Information

5.1 PEC's collection, use, disclosure, retention and protection of personal information is described in the Privacy Policy, which applies alongside these Terms. Please read it.

5.2 Certain Services, including recorded video interviews, may involve additional privacy notices, consents or acknowledgments. These are read together with the Privacy Policy and these Terms.

5.3 Where PEC uses service providers located or storing information outside your province or outside Canada, your personal information may be processed in those jurisdictions and may be accessible to their courts, governments and law-enforcement authorities under local law. The Privacy Policy and any applicable notice describe this in more detail.

5.4 The Privacy Policy describes PEC's practices. It does not, by itself, create contractual obligations or liability beyond what applicable law requires or PEC expressly agrees in writing.


6. Eligibility and Authority

6.1 By using the Services, you represent that:

  • you are at least the age of majority in your province or territory of residence, or are using the Services with appropriate authorization;

  • you have the legal capacity to accept these Terms;

  • the information you submit is accurate, complete and not misleading;

  • you will not impersonate another person or misrepresent your identity, qualifications or work history; and

  • if you act for an organization, you are authorized to bind it.

6.2 PEC's recruitment Services are intended for individuals who are legally eligible to work in Canada in the applicable role and who meet the stated role requirements. PEC may restrict or deny access to anyone who does not meet eligibility requirements, subject to applicable law.


7. Recruitment and Employment Applications

7.1 Submitting an application or participating in any recruitment step does not: create an employment relationship; constitute an offer of employment; guarantee an interview, advancement, placement with a Client or future consideration; or oblige PEC to fill a position.

7.2 PEC may modify, pause, cancel or discontinue any recruitment process or posted position at any time, subject to applicable law.

7.3 PEC decides which Candidates advance based on its legitimate business and role requirements and applicable law, including human rights legislation. PEC is an equal-opportunity employer.

7.4 Because PEC Personnel may work with or around minors, roles may require satisfactory reference checks, verification of credentials, and criminal record or vulnerable-sector checks (including under British Columbia's Criminal Records Review Act or equivalent legislation elsewhere). Any offer may be conditional on these checks.

7.5 Only a written offer or agreement signed or authorized by PEC creates a binding employment commitment. Statements made during recruitment, including by recruiters or in automated messages, do not.

7.6 You must provide truthful information. PEC may withdraw an offer or end a recruitment process if information you provide is false or misleading, subject to applicable law.


8. Third-Party Recruitment Technology and Recorded Video Interviews

8.1 Use of third-party tools. PEC may use Recruitment Technology Providers to collect applications, assessments, and recorded video or audio responses (a "one-way video interview"). These providers operate their own infrastructure, software, hosting and security. PEC does not own, operate or control those systems, cannot inspect or direct their day-to-day security, and may have no contractual right to recover from the provider for losses the provider causes.

8.2 Separate acknowledgment required. Before you submit a one-way video interview, you must read and accept the Privacy Notice and Candidate Acknowledgement - One-Way Video Interview. You will also be subject to the provider's own terms of use and privacy policy, which you should review.

8.3 Voluntary use and acceptance of risk. Using a one-way video interview is your choice; an alternative format is always available (Section 8.7). You acknowledge that transmitting and storing recordings on an internet-based third-party platform carries inherent risks that PEC cannot eliminate, including unauthorized access, data breach, data loss and service failure. If you choose to use the tool, you do so with knowledge of, and you accept, those risks.

8.4 Limitation of PEC's liability and release. To the maximum extent permitted by applicable law:

  • (a) PEC is not liable for any loss, damage, cost, claim or harm arising from the acts or omissions of a Recruitment Technology Provider or any of its subcontractors, including any data breach, cyberattack, unauthorized access, disclosure, loss or corruption of data within their systems; outages, recording or upload errors, or lost submissions; the provider's use of data contrary to its terms or policies; and any automated feature, scoring, transcription or analysis performed by the provider's technology;

  • (b) paragraph (a) applies whether or not PEC has any right of recourse against the provider;

  • (c) you release PEC and its directors, officers, employees and agents from claims described in paragraph (a); and

  • (d) in any event, PEC's total liability to you relating to recruitment Services is limited as set out in Section 29.3.

This Section 8.4 does not apply to the extent a loss is caused by PEC's own failure to comply with its obligations under applicable privacy law, or by PEC's own negligence or wilful misconduct, where the law does not permit that liability to be excluded or limited.

8.5 What PEC does to reduce risk; limits of this section. PEC collects through the tool only what is reasonably needed to assess your application, does not request government identification numbers, banking details or health information through it, restricts access to authorized recruiting staff, and deletes recordings within the retention period stated in Schedule A. Nothing in this Section 8 or in Schedule A: (a) excuses PEC from obligations that privacy legislation independently imposes on PEC, including accountability for personal information transferred to service providers, reasonable security arrangements and breach notification; or (b) waives any right you have to complain to a privacy commissioner or other regulator.

8.6 Human review. Recorded responses are reviewed by people at PEC. PEC does not make hiring decisions based solely on automated scoring, ranking or analysis of your recording. If PEC uses any automated or AI-assisted feature, PEC will tell you in advance where required by law.

8.7 Alternatives and accommodation. Using a one-way video interview is not the only way to apply. If you do not want to use the tool, or need an accommodation related to disability or another protected ground, contact careers@purpose-educate.com before the deadline and PEC will offer a reasonable alternative (such as a live video or phone interview). Choosing an alternative will not disadvantage your application.

8.8 Your responsibilities. You are responsible for your own device, internet connection and recording environment. Do not include in your recording information that is not needed, such as information about other people, health information, or details of your religion, family status or other protected characteristics.


9. No Guarantee of Employment, Assignment or Hours

9.1 Employment with PEC does not guarantee any particular Client assignment, number of assignments, duration, schedule, location, program, cohort, number of hours or continuation of any Client relationship, except as expressly stated in your employment agreement or required by law.

9.2 Clients may change, reduce or end programs, and may request changes to the PEC Personnel assigned to them. PEC's obligations to its employees in those circumstances are governed by the employment agreement and employment standards legislation, not these Terms.


10. Clients, Participants and Client Programs

10.1 Clients independently design, operate, market, price and supervise their own programs. Unless PEC expressly assumes a responsibility in a signed written agreement, the Client, not PEC, is responsible for: its program content, curriculum and admissions decisions; its contracts, fees, refunds and communications with Participants; its policies, including student-safety, supervision, conduct and complaints policies; and obtaining any consents required from Participants, parents or guardians.

10.2 PEC Personnel performing services at a Client's direction follow the Client's reasonable program instructions as set out in the Client Services Agreement. PEC is not responsible for the consequences of instructions, information or materials supplied by a Client that PEC Personnel follow in good faith.

10.3 PEC does not contract with Participants and makes no promise to Participants about any program. Questions about a program, enrolment, fees or outcomes should be directed to the Client operating it.

10.4 Nothing in these Terms creates a partnership, joint venture, franchise or agency relationship between PEC and any Client.


11. Client-Operated Systems

11.1 PEC Personnel may deliver services using systems selected, configured or administered by Clients, such as learning-management systems, video-conferencing, email, messaging and student-information systems.

11.2 Where a Client controls a system, PEC does not control its privacy settings, security configuration, account administration, data retention, content or availability. To the maximum extent permitted by law, PEC is not responsible for these matters unless PEC has expressly assumed that responsibility in writing.


12. Third-Party Services and Tools

12.1 The Services may link to, rely on or integrate with Third-Party Services, including Slack, Zoom, Google Meet, Google Workspace, Calendly, WhatsApp, email providers and Recruitment Technology Providers. These are governed by their own terms and privacy policies, which you should review.

12.2 PEC does not own or operate Third-Party Services. To the maximum extent permitted by applicable law, PEC does not warrant, and is not liable for, their availability, accuracy, performance, security, compatibility, content, or any change or discontinuation.

12.3 Links to third-party websites are provided for convenience and are not endorsements. Your dealings with a third party are solely between you and that third party.

12.4 PEC may add, replace or discontinue Third-Party Services as reasonably necessary for its operations.


13. Artificial Intelligence and Automated Technologies

13.1 PEC may use or authorize AI, machine-learning and automation tools for legitimate purposes, such as administration, drafting, summarization, scheduling, educational-content development, lesson planning, analysis and recruitment administration.

13.2 AI-generated output can contain errors, omissions or bias. PEC requires human review before AI output is relied on for material decisions, including hiring decisions. PEC does not warrant that AI-generated content is accurate, complete or current.

13.3 PEC Personnel may use only AI tools and use cases authorized by PEC and, where applicable, the relevant Client. PEC Personnel must not enter Participant personal information or Client confidential information into any AI tool that is not authorized for that purpose.

13.4 Where required by law, PEC will disclose its use of AI in recruitment (for example, in job postings) and in decisions made exclusively by automated processing.


14. No Educational or Outcome Guarantee

14.1 Educational, developmental and admissions outcomes depend on many factors outside PEC's control. Unless PEC expressly agrees otherwise in a signed written agreement, PEC does not guarantee any grade, test score, admission result, scholarship, learning or behavioural outcome, skill improvement, program completion, career outcome, or level of engagement.

14.2 Goals, benchmarks or objectives described by PEC or PEC Personnel describe intended aims, not promises of individual results.


15. No Professional Advice

15.1 Information provided through the Services, including by PEC Personnel acting as facilitators or coordinators, is general informational and educational support. It is not legal, medical, psychological, counselling, financial, tax, immigration or other regulated professional advice. Obtain qualified professional advice where your circumstances require it.

15.2 Admissions coordination and similar support does not replace the official requirements, decisions or advice of any school, post-secondary institution or admissions body.


16. Safeguarding and Conduct

16.1 PEC takes the safety of young people seriously. PEC Personnel must follow PEC's safeguarding and code-of-conduct policies and the applicable Client's student-safety policies, including rules on one-to-one contact, communication channels, and appropriate boundaries with Participants.

16.2 Anyone who has a concern about the safety or wellbeing of a young person should report it to the Client, to PEC at support@purpose-educate.com, and, where required by law, to child-protection authorities or police. Nothing in these Terms limits any legal duty to report.

16.3 These Terms do not limit or exclude any liability PEC has at law for harm to a person, and nothing in these Terms shifts to a Participant or their family any legal duty of care owed to them.


17. Acceptable Use

17.1 You must not use the Services to:

  • act unlawfully or fraudulently, or submit false or misleading information;

  • impersonate any person or misrepresent your identity, credentials or affiliation;

  • interfere with, disrupt, probe or circumvent the security of PEC systems or Third-Party Services;

  • gain unauthorized access to accounts, systems or data;

  • upload or transmit malware or harmful code;

  • scrape, crawl, harvest or systematically extract information;

  • collect, track or misuse the personal information of others;

  • harass, threaten, abuse, defame, discriminate against or harm any person;

  • share inappropriate content with, or seek inappropriate contact with, any minor;

  • record, photograph or share images of Participants except as authorized by the Client and PEC;

  • infringe intellectual-property, privacy or other rights; or

  • interfere with PEC's recruitment or business operations.

17.2 PEC may investigate suspected misuse, remove content and restrict or terminate access, and may report unlawful conduct to authorities, subject to applicable law.


18. Accounts and Credentials

18.1 Where PEC provides an account or credentials, you must keep them confidential and secure, and must not share them.

18.2 Report suspected unauthorized access promptly to PEC at support@purpose-educate.com or to the relevant Client system administrator.

18.3 PEC may suspend, reset or revoke credentials where reasonably necessary for security, and will revoke access to PEC systems when employment or engagement ends.


19. Intellectual Property

19.1 PEC or its licensors own the intellectual property in PEC-controlled websites, branding, logos, training resources, program frameworks, methodologies, templates, written materials, designs and digital resources.

19.2 PEC grants you a limited, revocable, non-exclusive, non-transferable licence to access PEC materials solely for their authorized purpose. Nothing in these Terms transfers ownership.

19.3 Unless PEC authorizes it in writing, you must not reproduce, distribute, publish, sell, sublicense, commercially exploit, reverse engineer, create derivative works from, or systematically extract PEC materials.

19.4 Ownership of materials created by PEC Personnel in the course of employment, and any rights granted to Clients, are governed by the applicable employment agreement or Client Services Agreement.


20. Confidential Information

20.1 If you receive PEC confidential information, you must use it only for its authorized purpose and not disclose it, except as permitted by law.

20.2 Confidential information includes non-public business information, Client information, pricing, operational processes, program and training materials, technology configurations, personnel information, and Participant information.

20.3 More specific confidentiality obligations in employment, Client or other agreements continue to apply.


21. Communications Channels and Workspaces

21.1 PEC may operate communications workspaces (such as a PEC Slack workspace) for PEC Personnel and Candidates. Use of these workspaces is subject to these Terms, PEC policies and the platform's own terms.

21.2 Communications on PEC workspaces are not private from PEC. PEC may access, monitor, retain and review them for legitimate business, security, safeguarding and legal purposes, as described in the Privacy Policy and applicable PEC policies.


22. Submitted Content and Feedback

22.1 "Submitted Content" means applications, résumés, documents, recordings, assessments, messages, feedback and other materials you submit through the Services. You keep ownership of rights you hold in your Submitted Content.

22.2 You grant PEC a limited, non-exclusive, royalty-free licence to access, store, reproduce, process and use your Submitted Content as reasonably necessary to provide the Services, administer recruitment, evaluate applications, manage employment, comply with legal obligations, investigate misuse or disputes, and for other purposes disclosed at collection or permitted by law. This licence is subject to the Privacy Policy.

22.3 You represent that you have the rights needed to submit your Submitted Content and that it does not infringe anyone's rights or contain unlawful material.

22.4 If you voluntarily provide suggestions or feedback about PEC's Services, PEC may use them without obligation or compensation to you. This does not apply to personal information, which remains governed by the Privacy Policy.


23. Website Information

23.1 PEC aims to keep public information accurate, but website content may contain errors or become out of date. PEC may correct or update it without notice.

23.2 Descriptions of roles, programs or services on the website are not binding commitments unless incorporated into a written agreement authorized by PEC.


24. Paid Services

24.1 Where PEC offers a paid Service, the price, payment terms, cancellation and refund terms will be set out at the point of purchase or in a separate agreement, which governs in the event of conflict.

24.2 PEC may change prices for future purchases. PEC may correct pricing errors and cancel affected orders before fulfilment, subject to applicable consumer-protection law.


25. Availability and Modification of Services

25.1 PEC may modify, suspend, restrict or discontinue any Service or feature where reasonably necessary.

25.2 PEC does not guarantee continuous or uninterrupted availability. Services may be affected by maintenance, updates, cyber incidents, provider outages, infrastructure or telecommunications failures, Client decisions, legal requirements or other events beyond PEC's reasonable control.


26. Acts of Clients and Independent Third Parties

26.1 PEC works with independent Clients and service providers. Except where applicable law or a written agreement provides otherwise, PEC is not responsible for the representations, promises, content, policies, technology, instructions, business decisions, unlawful conduct or other acts or omissions of any Client, Recruitment Technology Provider or other independent third party.


27. Security and Data Incidents

27.1 PEC uses reasonable administrative, technical, physical, contractual and organizational safeguards appropriate to the sensitivity of the information it holds, and requires its service providers to do the same by contract.

27.2 No system is completely secure. To the maximum extent permitted by law, PEC does not warrant that the Services or any Third-Party Service will be free from unauthorized access, cyberattack, vulnerabilities, interruption, data loss or other security events.

27.3 Incidents at third parties. PEC does not operate or control the systems of Recruitment Technology Providers or other Third-Party Services, and may have no recourse against them. To the maximum extent permitted by law, PEC is not liable for losses caused by a security incident within such a system, except to the extent caused by PEC's own failure to meet its legal obligations or PEC's own negligence or wilful misconduct where that liability cannot lawfully be excluded.

27.4 Notification. If PEC becomes aware of a breach of security safeguards involving personal information under PEC's control, including information held by a provider on PEC's behalf, PEC will assess it, take reasonable steps to contain it, and notify affected individuals and regulators where required by applicable law.

27.5 Nothing in this section reduces any privacy, security or notification obligation that applicable law imposes on PEC.


28. Disclaimer of Warranties

28.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR WARRANTIES OR CONDITIONS THAT CANNOT LAWFULLY BE EXCLUDED, THE SERVICES, WEBSITES, CONTENT, DIGITAL RESOURCES AND ANY THIRD-PARTY SERVICES MADE AVAILABLE THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE."

28.2 PEC DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY AND COLLATERAL WARRANTIES, REPRESENTATIONS AND CONDITIONS, INCLUDING THOSE OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, COMPLETENESS, RELIABILITY, COMPATIBILITY, SECURITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION. PEC DOES NOT WARRANT THAT USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR RESULT.

28.3 THIS SECTION DOES NOT EXCLUDE ANY WARRANTY, CONDITION, RIGHT OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.


29. Limitation of Liability

29.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND AUTHORIZED SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OPPORTUNITY, DATA OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF ADVISED OF THEIR POSSIBILITY.

29.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEC WILL NOT BE LIABLE FOR LOSS OR DAMAGE CAUSED BY: (A) A RECRUITMENT TECHNOLOGY PROVIDER OR OTHER INDEPENDENT THIRD PARTY; (B) A CLIENT OR A CLIENT-CONTROLLED SYSTEM; (C) A THIRD-PARTY PLATFORM OUTAGE, FAILURE OR SECURITY INCIDENT; (D) UNAUTHORIZED CONDUCT BY ANY USER; (E) INFORMATION OR INSTRUCTIONS SUPPLIED BY A CLIENT OR USER; (F) EVENTS BEYOND PEC'S REASONABLE CONTROL; OR (G) YOUR FAILURE TO COMPLY WITH THESE TERMS — EXCEPT TO THE EXTENT THE LOSS WAS CAUSED BY PEC'S OWN BREACH OF LAW, NEGLIGENCE OR WILFUL MISCONDUCT AND APPLICABLE LAW DOES NOT PERMIT THAT LIABILITY TO BE EXCLUDED.

29.3 FOR CLAIMS ARISING FROM USE OF PEC'S FREE PUBLIC WEBSITE, FREE DIGITAL CONTENT OR RECRUITMENT SERVICES, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEC'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED CAD $100.

29.4 For paid Services and Client relationships, any liability cap is set by the applicable agreement.

29.5 NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR WILFUL MISCONDUCT, OR ANY OTHER LIABILITY OR STATUTORY RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.


30. Indemnification

30.1 To the maximum extent permitted by law, if you use the Services for business or organizational purposes, you agree to indemnify and hold harmless PEC and its directors, officers, employees and agents from third-party claims, losses, liabilities and reasonable legal costs arising from: your unlawful use of the Services; your material breach of these Terms; infringement of another person's rights by your Submitted Content; your fraud or wilful misconduct; or unauthorized access to or misuse of PEC systems caused by your intentional or grossly negligent conduct.

30.2 This section does not require anyone to indemnify PEC for PEC's own conduct, and does not apply to individual consumers or to employees acting within the scope of their employment, except as permitted by law. Additional indemnities may apply under Client or commercial agreements.


31. Events Beyond Reasonable Control

31.1 To the maximum extent permitted by law, PEC is not liable for delay or failure to perform a non-monetary obligation caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemics or public-health emergencies, government action, labour disruption, telecommunications, internet or power failure, cyberattack, or failure of third-party infrastructure or providers.

31.2 PEC will take commercially reasonable steps to resume affected operations.


32. Suspension and Termination

32.1 You may stop using the Services at any time.

32.2 PEC may suspend, restrict or terminate your access to the Services where reasonably necessary because of a breach of these Terms, suspected fraud, security or safeguarding concerns, unlawful activity, misuse, threats to PEC, Clients, Participants or other users, legal requirements, or discontinuation of a Service.

32.3 Ending access to the Services does not by itself end an employment or Client relationship governed by a separate agreement.


33. Electronic Communications and Acceptance

33.1 You consent to receiving communications about the Services electronically, including notices, application updates, agreements, disclosures and confirmations, where permitted by law. Commercial electronic messages will be sent only in compliance with Canada's Anti-Spam Legislation.

33.2 Where PEC requests electronic acceptance, clicking a designated checkbox, button or similar control constitutes your acceptance and signature to the extent permitted by applicable law, including British Columbia's Electronic Transactions Act.

33.3 PEC may keep records of your acceptance, including the date, time, document version, and related technical information.


34. Changes to These Terms

34.1 PEC may update these Terms from time to time. The "Last Updated" date shows the current version.

34.2 For material changes, PEC will give reasonable advance notice (for example, by email or a notice on the website or at login) where you have an account or ongoing relationship with PEC, and will obtain your express agreement where the law requires it.

34.3 Changes do not apply retroactively to disputes that arose before the change took effect. Continued use alone is not treated as consent where the law requires express consent.


35. Governing Law and Jurisdiction

35.1 These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles.

35.2 Subject to Section 36 and to any mandatory law giving you the right to bring proceedings where you live, the courts of British Columbia have jurisdiction over disputes relating to these Terms.

35.3 Nothing in this section deprives a consumer, employee or other person of mandatory legal protections of the province or territory where they reside.


36. Dispute Resolution

36.1 Informal resolution first. Before starting formal proceedings, please contact PEC at support@purpose-educate.com with a description of your concern. Both parties agree to try in good faith to resolve it within 30 days.

36.2 Business users. If you use the Services for business or organizational purposes and a dispute is not resolved informally, either party may refer it to confidential arbitration in Vancouver, British Columbia, under the Arbitration Act (British Columbia), before a single arbitrator, unless a separate agreement provides otherwise.

36.3 Individuals and consumers. Nothing in these Terms requires an individual or consumer to submit a dispute to mandatory arbitration, or waives participation in a class proceeding, where applicable law prohibits that requirement. The parties may agree to mediation or arbitration after a dispute arises.

36.4 Employment disputes are governed by the employment agreement and employment legislation. Privacy complaints may always be made to the applicable privacy commissioner.


37. Statutory Rights

37.1 Nothing in these Terms excludes, restricts or waives rights under consumer-protection legislation, privacy legislation, employment standards legislation, human rights legislation, or any other right or remedy that cannot lawfully be waived. If a provision conflicts with mandatory law, the law governs to the extent of the conflict.


38. General Provisions

38.1 Severability. If any provision is found invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions continue in effect.

38.2 No waiver. PEC's failure or delay in enforcing a right is not a waiver. A waiver is effective only if given by PEC in writing.

38.3 Assignment. You may not assign these Terms without PEC's prior written consent. PEC may assign these Terms in connection with a merger, reorganization, acquisition, financing or sale of all or part of its business or assets, subject to applicable law.

38.4 Entire agreement. These Terms, together with the Privacy Policy and any documents incorporated by reference (including Schedule A where accepted), form the entire agreement about the Services governed by them and supersede prior versions, including PEC's Terms of Service dated October 19, 2023. They do not supersede any separate employment agreement or Client Services Agreement.

38.5 Interpretation. Headings are for convenience only. "Including" means "including without limitation." References to legislation include amendments and successors. These Terms are not to be construed against either party as drafter.

38.6 Language. These Terms are written in English.

38.7 Survival. Provisions that by their nature should survive termination continue to apply, including those on intellectual property, confidentiality, Submitted Content, disclaimers, limitations of liability, indemnification, governing law, dispute resolution and accrued rights.
